Definitions

• "Elko" refers to the digital asset management platform provided by Elko.
• "User" refers to any individual or entity accessing or using Elko.
• "Content" refers to any data, information, text, images, videos, or other materials accessible on Elko.
• "Account" refers to the user account created to access and use Elko DAM.
• "Subscription Payment Services" refers to the payment processing services provided by Stripe.com.
• "Stripe" refers to Stripe, Inc., the provider of subscription payment services.

Subscription Payment Services

Integration: Elko utilizes Stripe.com for subscription payment processing. By subscribing to Elko, you agree to comply with Stripe's Terms of Service available at https://stripe.com/en-sg/privacy and https://stripe.com/en-sg/legal/consumer.

Payment Authorization: By providing payment information through Stripe, you authorize Elko to charge the applicable subscription fees to your chosen payment method on a recurring basis until you cancel your subscription.

Billing Cycle/Subscription Period: Subscription fees will be billed in advance on a recurring basis according to the selected billing cycle/ Subscription Period (e.g., monthly, Subscriber subscribed On February 15, subscription period will be from February 15 to March 14. The recurring subscription fee will be charged on March 15).

Subscriptions: If you purchase a Subscription, you will be charged the monthly or annual (as applicable) Subscription fee, plus any applicable taxes, and other charges (“Subscription Fee”), at the beginning of your Subscription and each month or year (as applicable) thereafter, at the then-current Subscription Fee. Similarly, if you agree to a Subscription Fee, that will remain your price for the duration of the Subscription period; however, prices are subject to change at the end of a Subscription period. If you purchase a Subscription, we (or our third-party payment processor) will automatically charge you each month or year on the anniversary of the commencement of your Subscription, using the Payment Information you have provided until you cancel your Subscription. By agreeing to these Terms and electing to purchase a Subscription, you acknowledge that your Subscription has recurring payment features and you accept responsibility for all recurring payment obligations prior to cancellation of your Subscription by you or Elko. Your Subscription continues until canceled by you or we terminate your access to or use of the Services or Subscription in accordance with these Terms. If you increase the number of Authorized Users by changing the number of Authorized Users under your Account, you expressly authorize us (or our third-party processor) to charge your credit card on file for the pro-rated Subscription Fee corresponding to the additional Authorized Users for the remainder of your Subscription term.

Payment Information: You agree to provide accurate, current, and complete payment information and to promptly update such information as necessary to ensure continued access to Elko.

Use of Elko

• Eligibility: You must be at least 18 years old and capable of forming a binding contract to use Elko. By using Elko, you represent and warrant that you meet these eligibility requirements.

• Account Registration: To access certain features of Elko, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

• User Responsibilities: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Elko immediately of any unauthorized use of your account or any other breach of security.

Content

• Compliance: You agree to comply with all applicable laws, rules, and regulations when using Elko.

• Prohibited Activities: You may not engage in any of the following activities in connection with your use of Elko:

  o Violating any third-party rights, including intellectual property rights.
  o Uploading, transmitting, or distributing any harmful, unlawful, or offensive content.
  o Interfering with or disrupting the integrity or performance of Elko DAM.
  o Accessing or attempting to access accounts or systems without authorization.

Modifications

Elko reserves the right to modify or update these Terms at any time. Any changes will be effective upon posting the revised Terms on Elko. Your continued use of Elko after the posting of the revised Terms constitutes your acceptance of the changes.

Disclaimer of Warranties

Elko is provided "as is" and "as available" without any warranties of any kind. Elko does not warrant that Elko DAM will meet your requirements or be uninterrupted, secure, or error-free.

Limitation of Liability

In no event shall Elko be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of Elko, even if Elko has been advised of the possibility of such damages.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
